Richard N. Cohen, Partner

Richard N. Cohen has been practicing for over 25 years and has successfully completed thousands of residential and commercial transactions.
Mr. Cohen specializes in the sales and purchases of condominiums, cooperative apartments, townhouses, single and multi-family homes, shopping centers, residential buildings, apartment buildings and apartment complexes. He has considerable experience in the sale and acquisition of single tenanted properties with national chains, such as CVS, McDonalds, Starbucks, Ruby Tuesdays, United Rentals and Wendy’s and commercial leasing, including office, retail, triple net and shopping center leases, as well as in refinancing commercial, multi-family, cooperative apartment and commercial properties. He has assisted many clients in successful IRS Section 1031 tax free exchanges of commercial properties. He also has drafted many Offering Plans and Offering Plan Amendments for Condominiums and Cooperatives and filed them with the Attorney General’s Office of the State of New York. He has also participated in the financing of Casinos secured by ship mortgages, in Mississippi and Louisiana and aircraft mortgages with the FAA in Oklahoma City.
Mr. Cohen learned over thirty years ago that clients are looking for lawyers who are “deal makers,” not “deal breakers” and always looks first to see how a deal can be successfully completed. However, in the event that completion is not possible, he is a strong advocate for his clients' position and works with strong focus to obtain their goals.
Mr. Cohen also represents clients in general business, partnership, tenants-in-common and corporate matters (including limited liability companies) and assists in their formation and ongoing issues.

Mr. Cohen has represented a group of over 33 purchasers against a developer in proceedings before the Office of the Attorney General of New York State for the return of over $13,000,000 of downpayments. They obtained an order in favor of the purchasers from the New York State Attorney General. The developer then unsuccessfully challenged the decision of the Attorney General in federal district court (Southern District of New York) and at the U.S. Court of Appeals for the Second Circuit. The developer further challenged those decisions in the New York State Courts. In early 2012, the New York State Supreme Court also ruled in favor of the purchasers. The developer then further challenged those decisions in appellate court. On December 11, 2012, the Supreme Court, Appellate Division, First Department also ruled in favor of the purchasers. The application to the Attorney General, the decision of the Attorney General and the subsequent federal and state suits have been extensively covered in The Wall Street Journal, The New York Times, The Real Deal and The New York Law Journal.

Mr. Cohen has also represented many clients, with assistance from local counsel when necessary, in states around the country, as diverse as California, Hawaii, Florida, Connecticut, New Jersey, Louisiana and Mississippi. International clients have come from all over the globe, including Europe (Germany, Italy, England, Scotland and France), Australia, Venezuela, New Zealand, Korea, Japan, China and India.
